I. General Terms and Conditions
§ 1 Basic Provisions
These terms and conditions apply to contracts concluded with us as provider (Riccardo D'Arcangelo, DARCDESIGN, Am Boberg 2, 86554 Pöttmes, Germany) via the website https://guildnest.app.
A consumer within the meaning of these terms is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed. An entrepreneur is any natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity.
German law applies exclusively. The provisions of the UN Convention on Contracts for the International Sale of Goods do not apply.
§ 2 Subject Matter and Service Description
guildnest.app is an online management platform for guilds in the field of MMORPGs. The platform offers in particular the following functions:
- Creation and management of guilds
- Joining guilds and managing memberships
- Creation and management of characters (depending on subscription model)
- Creation and management of builds
- Searching and using an item database
- Management of applications, events, appointments, tasks, loot as well as DKP and EPGP systems within guilds
- Integration and management of a Discord bot for guild Discord servers (feature set depending on subscription model)
- Free: base package for one guild - builds, item database and core features.
- Guild Master: €5.99/month or €57.50/year - multiple guilds, more members, an extended Discord bot and additional guild tools.
- War Council: €16.99/month or €163.10/year - full feature set including alliances, advanced statistics and premium tools.
Paid subscriptions can be tried once, free of charge, for seven days. No payment method is required for the trial. It ends automatically and does not turn into a paid subscription; no cancellation is needed and no payment obligation arises. During the trial the features of the War Council model apply with limited quantities (two guilds, two Discord servers, 5 GB of file storage).
In addition to the subscriptions, one-time purchases granting permanent access (passes) are offered. They are paid once, do not renew, produce no further payments and do not need to be cancelled:
- Founder's Pass: €99.00 once - permanent access at the scope of the Guild Master model, plus six months at the scope of the War Council model.
- High Command Pass: €199.00 once - permanent access at the scope of the War Council model, plus the Discord Cosmetics add-on and guild branding for up to five guilds.
- High Command Upgrade: €100.00 once - upgrade of an existing Founder's Pass to the scope of the High Command Pass. The amount paid for the Founder's Pass is credited in full.
The terms "permanent", "for life" and "lifetime" refer to the operating life of the platform and not to the lifetime of the buyer. Access exists for as long as guildnest.app is operated and ends when the service is discontinued in accordance with § 8. No claim beyond that arises.
Only a limited number of each pass is sold. The High Command Pass and the High Command Upgrade are counted together. Once the respective number is reached, the pass is no longer offered. The remaining number is shown on the offer page.
Where a pass covers a subscription that is already running, that subscription ends at the end of the period already paid for and does not renew. The time already paid for remains usable until then.
In addition, the following paid add-ons can be purchased separately:
- Discord Cosmetics: custom bot name, avatar, banner and description per server, plus removal of the 'Powered by GuildNest' footer.
- Adventurer Pass: a personal, cross-guild profile (public profile page), statistics/exports and a calendar feed.
- Guild Branding Pack: custom design for the public guild page (colours, banner, custom URL slug, content panels).
- Storage Boost: additional file storage for the guild.
- Discord Bot Features: extended functionality of the Discord bot for one Discord server.
The Discord Bot Features add-on applies to one Discord server at a time. The assigned server can be changed; after a change, the next change is possible no earlier than seven days later. Each further server requires a further add-on.
The scope of the War Council model includes guild branding for up to five guilds in which the user is guild leader. The user decides which guilds these are; an assignment once made can be changed after 90 days. The Guild Branding Pack add-on is unaffected by this and can be booked additionally for individual guilds.
The Adventurer Pass is a recurring add-on and not a one-time purchase granting permanent access within the meaning of this section.
The essential features of the service and the differences between the models can be viewed on the website and are displayed during the ordering process.
A contribution to the guild treasury extends the term of the beneficiary guild’s plan. The contributor receives supporter status immediately upon receipt of payment. The term accumulated in advance in this way is capped at 24 months; contributions beyond that are not possible. Contributions are not refunded and create no rights in the guild, in particular no claim to membership, to a position within the guild or to the guild’s continued existence.
Leadership of a guild can be transferred to another member.
Services paid for through the guild treasury are assigned to the guild. They are retained in full when guild leadership is transferred.
Services that the previous guild leader provided through their personal subscription or through add-ons they booked remain assigned to them and are no longer available to the guild after the transfer. To that extent the guild falls back to the free scope until the new guild leadership books the service itself. Neither the guild nor the new guild leadership has any claim to the continuation of these services or to a refund. The transferring user is informed of these consequences before the transfer.
§ 3 Conclusion of the Contract
By registering and/or ordering a subscription on guildnest.app, a user agreement is concluded on the basis of these terms and conditions.
The processing of the order and the transmission of all information required in connection with the conclusion of the contract is carried out by e-mail and/or in the user account.
The contract language is German. The complete contract text is not stored by us. Before submitting the order, the contract data can be printed out or electronically saved using the browser's print function.
§ 4 License of Use and User Content
The digital content and functions offered are protected by copyright.
Users are granted a simple, non-transferable right to use the platform for the duration of the contract. For one-time purchases granting permanent access, this right of use applies for the operating life of the platform within the meaning of § 2.
Users are solely responsible for all content they post (e.g. guild descriptions, builds, forum posts) and may not post any unlawful, offensive, discriminatory, pornographic, or third-party copyrighted content without their consent.
The provider reserves the right to delete content that violates these rules and to block or terminate user accounts.
§ 5 Obligations of Users
Users undertake to use the platform exclusively within the framework of the statutory provisions and these terms and conditions.
In particular, it is prohibited to:
- Use automated scripts, bots, hacks, or similar tools not provided by guildnest.app
- Manipulate the platform or circumvent security mechanisms
- Distribute spam, advertising, or malware
- Make personal access data available to third parties
Violations may result in the suspension or deletion of the user account.
§ 6 Prices and Payment Terms
The prices for paid subscriptions are shown on the website. The seller of the subscriptions is Link (Stripe) acting as merchant of record; the applicable statutory VAT is calculated, shown and remitted by Link (Stripe), and the invoice is issued by Link (Stripe) as the seller.
Payment is made in advance for the selected period.
The available payment methods are displayed during the ordering process.
The seller of paid subscriptions is Link (Stripe) as merchant of record. The purchase contract for the subscription is concluded with Link (Stripe), which also handles payment processing; the charge appears on your bank statement as “LINK.COM* GUILDNEST”. Your use of GuildNest continues to be governed by these terms (see https://stripe.com/en).
Paid services may only be purchased by persons of full legal age.
Price changes apply only to newly concluded subscriptions. An existing subscription keeps the price agreed when the contract was concluded for as long as it continues without interruption. After a cancellation, a change of subscription or a change of the billing period, the price then current applies.
§ 7 Contract Duration and Termination
The contract duration and termination conditions depend on the selected subscription and are regulated in the ordering process as well as in these terms and conditions.
User accounts can be deleted at any time from within the account.
The right to extraordinary termination remains unaffected.
Any termination must be declared and submitted either in text form (e.g. email) or via the cancellation button provided on our website.
Paid subscriptions are managed and cancelled via Link (Stripe); the cancellation button embedded on our website forwards you accordingly.
When the user account is deleted, all of the user’s running paid subscriptions are terminated immediately so that no further payments arise after the point of deletion. No refund is made for the period already paid for but no longer used. Anyone who wishes to use the paid term in full should cancel the subscription and delete the account after the term has ended.
Services paid for a guild through the guild treasury are unaffected by the deletion of a user account.
If, after the deletion of the account, no responsible user remains for a linked Discord server and administration has not been transferred to another user, the settings and data stored for that server are deleted and the Discord bot leaves the server.
A one-time purchase granting permanent access is tied to the user account. It expires when that account is deleted, is not transferable to other users and does not revive upon a later re-registration.
When paid access ends, the user’s content is retained. Content that exceeds the scope of the free model remains fully usable for seven days and becomes read-only after that. It is not deleted automatically and is fully available again after a new booking. Files remain retrievable in any case.
§ 8 Discontinuation of the Platform and Refunds
The provider reserves the right to discontinue the guildnest.app platform and the associated services with a notice period of at least 30 days if there is an important reason (e.g. economic unreasonableness, official requirements, technical reasons).
Users will be informed in good time about the discontinuation of the service by e-mail and/or via the platform.
In the event of discontinuation of the service during an ongoing, already paid subscription, a pro-rata refund of the fees paid for the unused period will be made. The refund will be made within 14 days of the discontinuation of the service to the originally used payment method.
Further claims by users do not exist unless the provider has acted intentionally or with gross negligence or mandatory statutory liability regulations provide otherwise.
For one-time purchases granting permanent access, a claim to a pro rata refund exists if the service is discontinued within 24 months of the purchase. The refund is calculated linearly: amount paid times the number of full months between the discontinuation of the service and the end of the 24-month period, divided by 24. After 24 months from the purchase there is no claim to a refund. The refund is made within 14 days of the discontinuation of the service to the payment method originally used.
§ 9 Availability and Liability
The provider endeavors to ensure the highest possible uninterrupted availability of the platform. However, maintenance, further development, and/or disruptions may lead to temporary restrictions.
No liability is accepted for data loss caused by improper use or technical faults outside the provider's control.
The provider assumes no liability for content posted by users.
Otherwise, the provider is only liable for intent and gross negligence.
Additional services rendered on third-party platforms, in particular roles on the official GuildNest Discord server, are provided voluntarily and without any claim to availability. They require a linked account with the respective provider, depend on that provider’s continued existence and rules, and may cease without prior notice. The scope of the paid services on guildnest.app is unaffected.
§ 10 Data Protection
The collection, processing, and use of personal data is carried out exclusively in accordance with the applicable data protection laws (in particular GDPR).

§ 11 Right of Withdrawal for Consumers
Paid plans are sold via our payment partner Link (Stripe); Link is the seller and contractual partner of the purchase contract. Any right of withdrawal regarding the purchase is governed by Link’s terms and must be exercised vis-à-vis Link.

This applies equally to one-time purchases granting permanent access and to add-ons. As these are digital content supplied immediately after purchase, any right of withdrawal expires as soon as the buyer has expressly consented to immediate performance and confirmed their knowledge of that expiry. This consent is obtained by Link (Stripe) during the ordering process.
§ 12 Alternative Dispute Resolution
The European Commission provides a platform for out-of-court online dispute resolution (ODR platform), available at https://ec.europa.eu/consumers/odr.
We are neither willing nor obliged to participate in dispute resolution proceedings before consumer arbitration boards.
§ 13 Final Provisions
German law applies. For consumers, this choice of law only applies insofar as the protection granted by mandatory provisions of the law of the state in which the consumer has his habitual residence is not withdrawn (principle of favorability).
Should individual provisions of these terms and conditions be invalid, the validity of the remaining provisions shall remain unaffected.
